Terms of Service
Last updated: October 19, 2026
These Terms of Service govern your use of Masi Digital’s website and services. If you sign a separate service agreement or order form with us, that agreement controls if it conflicts with these terms.
1. Services
Masi Digital provides business-to-business cold email lead generation services that build, launch, and manage outreach campaigns to produce qualified opportunities and booked sales calls. The exact scope, campaign volume, qualification criteria, deliverables, and service period are stated in the applicable proposal, order form, or service agreement.
2. Client Responsibilities
You agree to provide accurate information, timely approvals, access to required systems, lawful campaign materials, and reasonable cooperation. You remain responsible for your offer, sales process, fulfillment, and compliance obligations that apply specifically to your business.
3. Payment Terms
Fees, billing frequency, due dates, and any performance-based charges are stated in the applicable proposal, order form, invoice, or service agreement. Unless that document says otherwise, invoices are due upon receipt, recurring fees may be charged automatically to the authorized payment method, and fees are nonrefundable once earned. You are responsible for applicable taxes other than taxes on our income.
Past-due balances may accrue interest at the lesser of 1.5% per month or the highest rate permitted by law. We may pause services after notice if an undisputed payment remains overdue.
4. Term and Cancellation
The service term, renewal terms, and cancellation rights are stated in the applicable proposal, order form, or service agreement. Ending services does not remove payment obligations or other provisions that are intended to survive termination.
5. No Guarantee of Specific Results
Business outcomes depend on factors outside our control, including market conditions, your offer, targeting, deliverability, prospect behavior, sales follow-up, and third-party platforms. We do not guarantee any specific number of leads, booked sales calls, sales, revenue, conversion rate, or return on investment unless a specific written guarantee appears in your signed service agreement or order form. Any written guarantee is governed only by its stated conditions and remedy.
6. Acceptable Use and Compliance
You may not use our website or services for unlawful, deceptive, abusive, or infringing activity. Each party will comply with the laws and platform rules that apply to its performance. We may refuse or suspend work that we reasonably believe creates legal, security, deliverability, or reputational risk.
7. Confidentiality
Each party may receive nonpublic business, technical, or commercial information from the other. The receiving party will use that information only to perform or receive the services and will protect it using reasonable care. This obligation does not cover information that is public through no fault of the receiving party, independently developed, lawfully received from another source, or required to be disclosed by law.
8. Intellectual Property
Each party keeps ownership of materials it owned before the engagement. After full payment, you may use the final campaign materials created specifically for you as described in the applicable service agreement. Masi Digital retains ownership of its methods, systems, templates, know-how, software, and reusable materials.
9. Third-Party Services
Our work may depend on email platforms, domain providers, data providers, scheduling tools, and other third-party services. We are not responsible for changes, outages, suspensions, data loss, or other acts of third parties that are outside our reasonable control.
10. Limitation of Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities. Masi Digital’s total liability arising out of the website or services will not exceed the fees you paid to Masi Digital for the services giving rise to the claim during the three months before the event that created the liability. This section does not limit liability that cannot legally be limited.
11. Indemnification
You agree to defend and indemnify Masi Digital from third-party claims arising from materials or instructions you provide, your products or services, your breach of these terms, or your unlawful use of the website or services. Masi Digital will promptly notify you of a covered claim and reasonably cooperate in the defense.
12. Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute that is not governed by a separate signed agreement must be brought in the state or federal courts located in New York, and each party consents to their jurisdiction.
13. SMS Messaging Terms
SMS program and use cases. Masi Digital sends SMS messages about appointments only to people who book a call and expressly opt in. Messages may include appointment confirmations, appointment reminders, rescheduling information, and non-promotional service updates or follow-up related to the booked appointment.
